Terms of Service

Plain-language terms governing projects, hosting, domains, administrative filings, and branded merchandise supplied by Wakeful Studio.

1. Contracting Party

These Terms of Service govern all services provided by Wakeful Journey Consulting (Pty) Ltd t/a Wakeful Studio (Registration No. 2025/932757/07, formerly trading as Brandcrew), with registered address at 72 Riboville Road, Midrand, Gauteng, 1685, South Africa (hello@wakefulstudio.co.za).

2. Quotes, Deposits & Payment

  • All published and quoted prices are in South African Rand (ZAR) unless another currency is expressly stated on your quote, and exclude VAT if applicable.
  • Once-off administrative filings, domains & Starter Bundles: Payable 100% upfront before submission to CIPC, SARS, or the domain registry.
  • Websites & Branding projects: Typically billed 50% deposit on acceptance of the written scope and 50% on completion prior to live deployment or final master file handover.
  • Corporate Gifting & Branded Clothing: Because garments and gifts are custom-branded to your artwork proof, orders require 100% payment on approval of the digital proof before production begins.

3. Intellectual Property & Ownership

Upon full settlement of your invoice, you own the final approved logo vectors, brand guide, website copy, and custom website files created for your project, and your domain name is registered in your name. Wakeful Studio retains the right to showcase completed work in our portfolio unless a non-disclosure agreement is agreed in writing.

4. Hosting, Domains & Renewals

Monthly and annual hosting plans (`R149/mo` Starter, `R249/mo` Business, `R649/mo` Managed Website Care) and domain renewals may be cancelled with 30 days' written notice to hello@wakefulstudio.co.za. We assist with clean migrations out whenever requested.

5. Administrative Scope of Registration Services

Where you instruct Wakeful Studio to prepare or submit CIPC, SARS eFiling, B-BBEE, Beneficial Ownership, or POPIA documents, you confirm that all information and identity documents supplied by you are true and accurate, and you authorise us to submit those records as your administrative filing agent. Turnaround times depend on CIPC and SARS processing queues. Wakeful Studio does not provide legal, tax, or accounting advice.

6. Consumer Protection & Cooling-Off Rights

Nothing in these Terms limits any mandatory right you hold under the Consumer Protection Act 68 of 2008 (CPA) or Section 44 of the Electronic Communications and Transactions Act 25 of 2002 (ECTA). Please note that under Section 42(2)(f) of ECTA and Section 16 of the CPA, statutory cooling-off rights do not apply once custom-made goods (such as branded clothing) have entered production or once statutory government filings/domain registrations have been executed on your instruction.

7. Governing Law

These Terms are governed by the laws of the Republic of South Africa.
